These are the general terms and conditions of Aanbod op Maat. Layg is a brand of Aanbod op Maat. This is an English translation; if the English and Dutch texts differ, the Dutch version prevails. First the rules that always apply (articles 1 to 18), then extra rules for consumers (part B), then an annex per type of service.
Do you already have an agreement with us? Then the previous version keeps applying until we have informed you about this version and 30 days have passed. Anything in this version that is more favourable to you applies immediately.
1. Who we are
Aanbod op Maat is a sole proprietorship registered with the Dutch Chamber of Commerce (KvK) under number 99488299, VAT number NL005391627B68, established in Maastricht, the Netherlands. Our registered address is listed in the Trade Register and on every quote and invoice.
We operate under several brands. These terms apply to all of them: IT Live, LAYG, Slimbot, Abe IT (Abeit), Ayoub Bouders, HorecaMenu, Slim Flow Systems, Bouders, Slim Badkamer and Prefab Projects. Our platforms Offertewerk, MarocNL and 321clean have their own terms on those sites.
We / us: Aanbod op Maat, also when acting under one of our brands.
You / customer: anyone who enters into an agreement with us or creates an account with us.
Business customer: a customer acting in the course of a trade, business or profession.
Consumer: a customer acting as a private individual.
Service: everything we supply, such as websites and web shops, hosting, e-mail and domain names, software subscriptions (such as Slimbot and HorecaMenu), AI assistants, telephony, videos, IT support and advice.
Agreement: the arrangement between you and us: the quote, order or sign-up, the annex belonging to the service and these terms.
In writing: on paper, by e-mail or via your customer account.
3. When these terms apply
These terms apply to all our quotes, orders, sign-ups and agreements, under whichever brand.
Each type of service has an annex with additional rules. If documents conflict, this order applies: (1) what we specifically agreed with you in the quote or agreement, (2) the annex for the service, (3) these terms. For processing personal data on your behalf, our data processing agreement prevails.
Your own purchasing or general terms do not apply unless we have accepted them in writing.
If a provision is invalid or annulled, the rest remains in force and we replace that provision with a valid one that comes as close as possible to its intention.
4. Quotes, prices on our sites and entering into the agreement
A quote is valid for 30 days unless it states otherwise.
Indicative and "from" prices on our sites are an indication. The price in your quote or on the order screen is the price that applies.
The agreement is concluded when you accept a quote (also by e-mail, WhatsApp or online approval), complete an order or sign-up, or accept an offer in your dashboard.
A free account is not a paid subscription. Costs only arise when you order a paid service or accept a paid offer.
An obvious mistake or typing error in a quote or on our site does not bind us.
5. How we do the work
We carry out the work carefully, to the best of our ability and in a professional manner. Unless we have expressly promised a specific result, this is an obligation of best efforts.
Planning and delivery times are guidelines, unless we have agreed a fixed deadline in writing. If we run late, let us know in writing and give us a reasonable period to still deliver.
You provide the information, texts, images and access we need on time. If that comes later, the planning shifts. If this demonstrably costs us more work, we discuss any extra costs with you in advance.
Work outside the agreement (additional work) is only done with your approval, at a price stated in advance or at our hourly rate.
We may engage third parties, such as suppliers for hosting, payments, telephony, messaging and AI. Parties that process personal data for us are listed on our sub-processor list.
6. Prices and payment
Prices are in euros. We always state whether a price includes or excludes VAT. If it is not stated, the price includes VAT.
Subscriptions are invoiced in advance per period (monthly or yearly, as agreed). One-off work is invoiced as stated in the quote; we may ask for a down payment.
Pay within 14 days of the invoice date unless the invoice states otherwise. Online payments go through a payment service; we do not store your card details ourselves.
If you do not pay on time, we send a reminder with a new payment term of 14 days. If payment is still not made, we may suspend the service after notice until payment is received, and charge statutory interest and collection costs. For consumers we only do so as permitted by law.
If you believe an invoice is incorrect, let us know within 30 days of the invoice date. You pay the undisputed part as normal.
If the price of a running subscription increases, we inform you by e-mail at least 30 days in advance. You may then cancel free of charge as of the date the new price takes effect.
7. Term, cancellation and termination
Unless agreed otherwise, a subscription runs per month and can be cancelled as of the end of the current month.
If your subscription has a fixed initial term (for example one year):
Business customer: after that term the subscription is renewed for the same period unless you cancel at least one month before the end.
Consumer: after that term the subscription continues for an indefinite period and you can always cancel with a notice period of no more than one month.
You can cancel by e-mail to info@layg.shop or, where available, in your customer account. We confirm your cancellation.
We may cancel a subscription with a notice period of at least one month. Anything you paid in advance for the period after that, we refund pro rata.
We may suspend the service immediately or terminate the agreement if you seriously or repeatedly breach these terms (for example misuse or illegal content), if you do not pay after a reminder, or if you as a business customer go bankrupt or are granted a suspension of payments.
If you cancel, we do not refund the current period unless the law or the annex provides otherwise.
After the end you can still download or have your data exported for 30 days. After that we delete it, except what we are legally required to keep (such as our accounting records, 7 years). We cooperate with a move to another provider; see the annex for the service.
8. What we expect from you
You only use our services in a lawful way. Not permitted include: spam or unsolicited bulk messages, phishing and malware, infringing the rights of others, hateful or discriminatory content, misleading content (such as deepfakes without consent), circumventing security and overloading our systems.
Keep your login details secret and use two-step verification where available. If you notice misuse of your account, tell us immediately.
You are responsible for what you publish or send via our services. This includes the mandatory information on your own website or shop (such as your privacy statement, cookie notice, prices and terms) and the consent of the people you send messages to.
If you act contrary to this article, we may block content or suspend the service. Usually we warn you first; in serious cases or where the law requires, we act immediately. We handle notices from others about unlawful content with care.
9. Intellectual property
Your content (texts, photos, videos, data, logos) remains yours. You only permit us to store, process and display it to the extent needed to provide the service.
You warrant that you hold the rights to what you supply. If you are a business customer and someone holds us liable because your content infringes their rights, you indemnify us.
What we create specifically for you may be used by you for the agreed purpose after full payment. Exactly what becomes yours is described in the annex for the service.
Our own software and platforms, templates, standard components, scripts, prompts and methods remain ours. Open-source components fall under their own licence; stock images and other licensed material under the licence of the source.
We may show in our portfolio that we worked for you (without confidential information). If you do not want this, let us know and we will remove it.
10. AI in our services
Many of our services use artificial intelligence (AI), for example chatbots, voice assistants and creating text, images and video.
When your customers chat or talk with an AI assistant of ours, we make this clearly visible or audible, or you can set this yourself. Do not switch this off.
AI can make mistakes or be incomplete. Check important output before you publish it or base decisions on it. You decide what you do with the output towards your own customers.
We do not use your data to train AI models ourselves. We work with carefully selected AI suppliers and, where possible, choose settings that exclude training on your data. These suppliers are listed on our sub-processor list.
11. Privacy and personal data
We are the controller for the data of our own customers and contacts. How we handle it is described in our privacy statement.
If we process personal data on your behalf (for example of your customers in your website, inbox, chatbot, WhatsApp or ordering system), you are the controller and we are the processor. Our data processing agreement then applies and forms part of every agreement in which we process such data.
The current list of parties processing data for us is on our sub-processor list. We announce changes in advance as described in the data processing agreement.
12. Availability, maintenance and back-ups
We do our best to keep our services available at all times, but we cannot always prevent an outage. Any uptime percentages we mention are targets. Firm guarantees and compensation only apply if we agree a separate SLA with you in writing.
We schedule planned maintenance outside office hours as much as possible. If we expect a noticeable interruption, we tell you in advance. Urgent security maintenance may happen immediately.
We make back-ups as described for the service. They are intended to recover from an outage. Also keep your own copy of data that is important to you.
Outages at parties we have no influence on, such as messaging platforms (for example WhatsApp), telephone networks, payment services and domain registries, are outside our responsibility. We will still help you as well as we can.
We continuously improve our services. If we remove a feature you substantially use, we announce it at least 30 days in advance and you may cancel free of charge.
We take appropriate technical and organisational measures to secure your data. Found a vulnerability? Report it to security@layg.shop.
13. Liability
If we fall short, first give us written notice and a reasonable period to fix it.
We are only liable for direct damage resulting from a shortcoming attributable to us. Per event (or series of related events) our liability is limited to the amount you paid us for the service concerned in the 12 months before the event, and never more than € 25,000. For a one-off assignment it is the invoice amount of that assignment.
We are not liable for indirect damage, such as consequential damage, lost profit or turnover, missed savings, reputational damage and damage due to business interruption.
Nor are we liable for damage caused by content you supply, by AI output you use without checking, by outages at parties we have no influence on, or by use contrary to these terms.
These limitations do not apply if the damage is caused by intent or deliberate recklessness on our part, nor in case of injury or death. If you are a consumer, they only apply to the extent permitted by law.
Report damage as soon as possible and no later than 12 months after you knew or could have known about it. If you are a business customer, your right to compensation lapses after that.
14. Force majeure
If we (temporarily) cannot perform due to force majeure, we do not have to perform at that time. Force majeure includes: outages at suppliers of hosting, power, internet or telephony, outages or blocks by messaging platforms, cyber attacks despite reasonable security, government measures and illness of the business owner where replacement is not possible.
If force majeure lasts longer than 30 days, either of us may terminate the agreement free of charge. What has already been delivered is paid pro rata.
15. Confidentiality
We keep each other's confidential information secret and only use it for the agreement, also after the agreement ends.
If we need access to your systems or accounts (for example for remote support), we only use it with your permission and only for that job.
16. Complaints
If you are not satisfied, e-mail your complaint with a clear description to info@layg.shop. Report it as soon as possible after discovering the problem; as a consumer in any case within two months.
We confirm your complaint within 5 working days and respond in substance within 14 days. If we need more time, we tell you within those 14 days when you will receive an answer.
If we cannot resolve it together, you can go to court (article 18). We are not affiliated with a disputes committee.
Complaints about privacy can also be submitted to the Dutch Data Protection Authority (Autoriteit Persoonsgegevens).
17. Changes to these terms
We may amend these terms. The current version is always on this page, with the date of the last change. We will send you an earlier version on request.
Changes that are unfavourable to you (for example about price, cancellation, liability or features) are announced by e-mail at least 30 days in advance. You may then cancel free of charge as of the date the change takes effect.
Small changes that are not unfavourable to you (such as clarifications or adjustments to new legislation) take effect once published on this page.
18. Applicable law and disputes
Dutch law applies to our agreements. The Vienna Sales Convention (CISG) does not apply.
We always try to resolve a dispute together first.
If you are a business customer, disputes are submitted to the District Court of Limburg, Maastricht location. If you are a consumer, you may also go to the court that has jurisdiction by law at your place of residence.
If these terms are translated, the Dutch text prevails in case of differences.
Part B: extra rules for consumers
This part only applies if you buy from us as a private individual (consumer). Your statutory consumer rights always continue to apply; this part explains them.
B1. Cooling-off period (right of withdrawal)
If you conclude the agreement at a distance (online, by e-mail, phone or WhatsApp) or off-premises, you have a 14-day cooling-off period. During that period you may withdraw from the agreement without giving a reason. The period starts on the day the agreement is concluded.
To withdraw, send a clear statement to info@layg.shop within those 14 days. You may use the model form below. We confirm receipt.
We refund what you have already paid within 14 days of your withdrawal, using the same means of payment you used, unless you agree to something else.
If you expressly ask us to start within the cooling-off period and then withdraw, you pay an amount proportionate to what we have already done up to that moment.
If you expressly asked us to start within the cooling-off period and declared that your right of withdrawal lapses once the service has been fully performed, you can no longer withdraw after full performance. The same applies to digital content that we already supply with your express consent, if you declared that you thereby waive your right of withdrawal.
Model withdrawal form (only complete and return this form if you wish to withdraw from the agreement)
I hereby give notice that I withdraw from our agreement for the following service: ……………………………
Ordered on: ……………………………
Name: ……………………………
Address: ……………………………
Date: ……………………………
Signature (only for a paper form): ……………………………
B2. Other consumer rules
If we ask for a down payment, it is at most half of the price, except for subscriptions you pay in advance per period.
You are entitled to a service and digital content that conform to the agreement. We cannot limit your statutory rights in this respect.
Cancelling tacitly renewed subscriptions: see article 7.2.
Annex A: Websites, web shops and custom work
What we build. What we build (such as the number of pages, features and revision rounds) is stated in the quote or in the package description.
Supplying materials. You supply texts, images, logos and access to existing systems on time. If we write texts or supply images ourselves, the quote says so.
Delivery and approval. When the website is ready, we show it to you. You then have 14 days to review it and report any defects with reasons. Minor issues that do not prevent use are no reason to postpone delivery; we fix them afterwards. If you use the website live or we hear nothing within those 14 days, it counts as delivered.
Fixes after delivery. Defects that come to light within 30 days after delivery and are caused by us are fixed free of charge. Change requests after delivery are additional work, unless included in your package or maintenance subscription.
What becomes yours. After full payment you may use the design, texts and images we made specifically for you without limitation. If you want the copyright in that custom work in your name, we transfer it to you in writing on request. For the parts that remain ours (our platform, templates, standard code) you receive a permanent right of use for this website. Third-party themes, plugins, fonts and stock images fall under their own licence; we announce any follow-up costs in advance.
Moving. Your domain name and the content of your website are yours, also when you leave. On request we provide your files and content in a common format. If your website runs on our own platform, we provide a copy of the pages, texts and images. Moving it to another provider is charged at our hourly rate unless included in your package.
Web shops. In your web shop you are the seller. You are responsible for your own terms, prices, VAT, delivery and your customers' right of withdrawal. The contract with your web shop's payment service is in your name.
After going live. Hosting, updates and maintenance after going live run via a subscription (see annex B), unless you arrange hosting yourself. Without a maintenance subscription we do not carry out updates.
Annex B: Hosting, e-mail and domain names
Hosting and e-mail. What your package includes (such as storage, mailboxes and traffic) is stated with the package. If you structurally use much more than is normal for your package, we discuss a suitable package with you.
No spam. You may not use our mail servers for unsolicited bulk mail. We may hold back suspicious outgoing mail and temporarily block an account to protect other customers and mail deliverability.
Back-ups. We regularly make back-ups at a separate location. How often and how long we keep them is stated with the package. A restore at your request that is not needed because of our error may be additional work.
Where your data is stored. On which servers and with which parties your data is stored is listed on our sub-processor list.
Domain names. Where possible we register your domain name in your name (you are the registrant). The rules of the registry (such as SIDN for .nl, DNS Belgium for .be and EURid for .eu) also apply to you. You are responsible for the choice of name and correct registrant details. A registration runs per year and is renewed automatically unless you cancel at least one month before it expires.
Moving. If you want to move your domain name or website to another provider, we give you the transfer code within 5 working days and cooperate. Transferring a domain name itself is free of charge.
End. After your hosting ends, you can still have your files and mail exported for 30 days. After that we delete them.
Annex C: Software subscriptions (such as Slimbot, HorecaMenu, the customer portal and AI telephony)
Free account. Creating an account costs nothing and you do not need to provide payment details. Which features are free is stated with the service. We may change the free offer; we announce this in advance.
Paid subscription. A paid subscription only starts when you accept the offer (in your dashboard or in a quote) or order a package yourself. There is no trial period that automatically turns into a paid subscription.
Term. A subscription runs per month and can be cancelled monthly, unless the offer states a different term (for example a yearly price or a promotion). You can cancel in your dashboard or by e-mail; you can use the service until the end of the paid period.
Usage limits and consumption. Each package has limits (such as the number of users, numbers, messages or call minutes). Usage-based costs, such as WhatsApp conversation charges, call minutes or text messages, are stated with the package or in the price list. If you exceed your limit, we let you know and you can move to a larger package.
WhatsApp, Instagram and other channels. The terms and policies of the platform itself (such as Meta for WhatsApp) also apply to these channels. You make sure that the people you message have given their consent. A platform may restrict or block a number or account; we have no influence on that.
Telephony and AI telephony. Numbers and calls run via our telephony partner. If you record calls or have an AI assistant answer, you make sure callers know; the AI assistant itself states that it is an AI assistant. Our AI telephony is not intended for emergency calls; in an emergency always call 112.
Apps. If you use one of our apps from the App Store or Google Play, the terms of that store also apply.
HorecaMenu. You are responsible for your menu, prices and allergen information. Payments from your guests run via a payment service in your name; transaction fees of that payment service are separate from your subscription.
Your data. You can export your data (such as contacts and conversations) during the subscription. After the end we keep it for 30 days for export and then delete it.
Annex D: Videos and content
What we make. Length, format, number of videos and revision rounds are stated with the package or in the quote. Prices are on the service page and in the quote.
How we make it. We use animation, AI images and AI voices, among other things. We do not imitate real, recognisable people without their consent. If you supply images, logos or music yourself, you warrant that you hold the rights to them.
Approval. You first receive a draft. Give your feedback within 14 days. If we hear nothing within 14 days, we may deliver the video as approved.
Use. After payment you may use the videos without limitation for your own communication and marketing, such as on your website, social media and in advertisements. Music, stock footage and fonts in the video fall under the licence of the source; you may not resell them separately.
Video subscription. A video subscription runs per month and can be cancelled monthly, unless agreed otherwise.
Posting on social media. If we schedule posts for you, we only use access to your accounts for that purpose. You remain responsible for your accounts and the reactions to them.
Annex E: IT support, management and advice
Rate. Support and advice are charged as stated in the quote, package or rate list.
Remote help. We only access your computer or system remotely if you give permission each time. You can always end the connection yourself.
Back-up first. Make sure you have a current back-up before we work on your systems. Where reasonable, we remind you or make a copy ourselves.
Advice. We give advice to the best of our ability; what you do with it is your decision.
